Terms of Use

This website, www.neumetria.com (the "Site"), is operated by Neumetria, Inc., a Delaware corporation (together with its affiliates, including Neumetria OÜ (Estonia), "Neumetria", "we", "us"). These Terms of Use ("Terms") govern your access to and use of the Site and its content.

These Terms apply to the Site only. They do not govern access to or use of the Neumetria platform, APIs, MCP interfaces, or related services (the "Platform"). Access to the Platform is available exclusively under a separately executed written agreement between Neumetria and your organization, such as a master services agreement and order form ("Platform Agreement"). If there is any conflict between these Terms and a Platform Agreement, the Platform Agreement governs your organization's use of the Platform.

By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

The Site describes Neumetria's behavioral intelligence layer for modern fintech and is provided for general informational purposes only. Nothing on the Site constitutes: (a) an offer or binding commitment to provide any product or service; (b) financial, investment, credit, legal, or other professional advice; or (c) a representation that any product described is suitable for your specific circumstances. Product descriptions, example signals, illustrative figures, and integration timelines are provided for explanation and may change without notice.

Neumetria provides decision-support infrastructure to businesses. Neumetria does not make financial decisions, provide financial advice to consumers, approve or deny credit, or initiate payments.

The Site is intended for business and professional audiences. By using the Site, you represent that you are at least 18 years old. If you contact us on behalf of an organization, you represent that you are authorized to do so.

The Site and all of its content — including text, graphics, page designs, illustrations, diagrams, logos, and software — are owned by Neumetria or its licensors and are protected by intellectual property laws. Neumetria® is a registered trademark. The Neumetria platform is patent pending.

We grant you a limited, revocable, non-exclusive, non-transferable right to view and use the Site for your internal informational purposes. No other right or license is granted. You may not copy, modify, distribute, republish, frame, or create derivative works of the Site or its content, or use any Neumetria trademark, without our prior written consent. Third-party names, logos, and badges displayed on the Site (including the NVIDIA Inception Program badge) are the property of their respective owners.

You will not: (a) use the Site in violation of applicable law; (b) attempt to gain unauthorized access to the Site, our systems, or the Platform; (c) interfere with or disrupt the Site's operation or security; (d) scrape, harvest, or systematically extract content or data from the Site, including for training artificial-intelligence or machine-learning models; (e) misrepresent your identity or affiliation; or (f) use the Site to develop or market a competing product or service.

Claroo is a consumer application built on the Neumetria platform and operated separately by Claroo SIA (Latvia). These Terms do not apply to the Claroo application, which is governed by its own terms of use and privacy policy available within that application and on its website.

The Site may contain links to third-party websites. We do not control and are not responsible for their content, terms, or privacy practices. Links do not imply endorsement.

Our collection and use of personal data in connection with the Site is described in our Privacy Policy.

The Site and its content are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, Neumetria will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business opportunity, arising out of or in connection with your use of the Site, even if advised of the possibility of such damages. Our total aggregate liability for any claims arising out of or relating to the Site or these Terms will not exceed one hundred United States dollars (USD 100). Nothing in these Terms excludes liability that cannot be excluded under applicable law.

We may modify, suspend, or discontinue the Site (or any part of it) at any time. We may update these Terms by posting a revised version with an updated "Last updated" date; your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. The state and federal courts located in Delaware have exclusive jurisdiction, and each party consents to their jurisdiction, except that nothing in this section limits any mandatory consumer protections you enjoy under the laws of your country of residence.

If any provision of these Terms is held invalid, the remainder remains in effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms; we may assign them in connection with a merger, acquisition, corporate reorganization, or sale of assets. These Terms are the entire agreement between you and us regarding the Site.
